Terms of Service

1. Acceptance of Terms

By accessing or using thalaxo.com and the Thalaxo platform (the “Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Nuvelia SAS, registered in France (Versailles, Île-de-France).

2. Description of Service

Thalaxo is a multi-cloud FinOps SaaS platform providing cloud cost visibility, waste detection, and optimization recommendations across AWS, Azure, GCP, and other supported providers. The Service is intended for professional use by businesses and their authorized representatives.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access at [email protected]
• Be responsible for all activity that occurs under your account

4. Subscription Plans & Billing

Thalaxo offers the following subscription plans:

• Freemium — €0/month · 1 stack · 10 VMs
• Starter — €49/month · 1 stack · 50 VMs
• Growth — €199/month · 3 stacks · 200 VMs
• Pro — €499/month · 10 stacks · 1000 VMs
• Scale — €999/month · Unlimited stacks & VMs
• Enterprise — from €1,999/month · Custom terms

Annual subscriptions benefit from a 20% discount. All prices are exclusive of applicable VAT. Billing is processed in EUR. USD and GBP pricing is available and subject to exchange rate fluctuations.

Subscriptions auto-renew unless cancelled at least 30 days before the renewal date. No refunds are issued for partial periods except where required by applicable law.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Access cloud accounts or infrastructure you are not authorized to manage
• Reverse engineer, decompile, or extract the source code of the Service
• Resell or sublicense the Service without written authorization
• Transmit malicious code or engage in any activity that disrupts the Service

6. Data & Security

Thalaxo connects to your cloud accounts using read-only API keys or IAM roles. We do not modify, delete, or provision cloud resources without your explicit instruction.

• Data encrypted in transit (TLS 1.3) and at rest (AES-256)
• Access controlled via least-privilege principles
• SOC 2 Type II certification in progress (kick-off May 2026)
• ISO 27001 on roadmap (December 2026)
• Infrastructure hosted on AWS EU (Paris region)

7. Intellectual Property

All content, features, and functionality of the Service are the exclusive property of Nuvelia SAS and protected by French and international intellectual property laws. You retain ownership of your cloud data. By using the Service, you grant Thalaxo a limited, non-exclusive license to process your data solely to deliver the Service.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Thalaxo shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Thalaxo’s total liability for any claim shall not exceed the amount paid by you in the 3 months preceding the claim.

9. Service Availability

Thalaxo targets 99.9% uptime but does not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime caused by third-party cloud providers or force majeure.

10. Termination

Either party may terminate the subscription at any time. Upon termination:

• Access ceases at the end of the current billing period
• Your data is retained for 30 days then permanently deleted
• You may request a full Terraform export before termination

11. Governing Law & Disputes

These Terms are governed by the laws of France. Any dispute shall be subject to the exclusive jurisdiction of the courts of Versailles, France.

• Belgium — consumer protection provisions under Belgian law remain applicable
• United Kingdom — compliant with UK GDPR and applicable UK consumer law

12. Changes to Terms

We reserve the right to modify these Terms at any time. Registered users will be notified by email at least 30 days before significant changes take effect. Continued use of the Service constitutes acceptance of the revised Terms.
